TerpTalk AI LLC

Subscription Service Agreement

Effective Date: July 17th, 2025

1. Agreement Overview

This Subscription Service Agreement ("Agreement") is entered into by and between TerpTalk AI LLC, an Illinois limited liability company ("TerpTalk AI"), and the client subscribing to its services ("Client").

2. Services Provided

TerpTalk AI will design, build, and operate a customized AI assistant for Client's cannabis retail business. Services include:

  • Development of VoiceFlow-based AI assistants
  • Product recommendation flows and natural language routing
  • Menu integration (e.g., via Algolia, Google Sheets)
  • Hosting and maintenance of the AI assistant
  • Ongoing support (bug fixes, basic prompt updates, menu sync, performance monitoring)

All AI assistant logic, configuration, and backend infrastructure are managed solely by TerpTalk AI.

3. Subscription and Payment

  • Client subscribes to the AI assistant service on a monthly basis.
  • Subscription fees are billed in advance and must be paid in full to maintain access.
  • Non-payment or failed billing results in immediate suspension or termination of access.
  • No refunds will be provided for any portion of a paid monthly subscription period.

4. Client Responsibilities

Client agrees to:

  • Provide all necessary business information, branding, and API keys (e.g., Algolia)
  • Approve AI assistant outputs and logic during onboarding
  • Maintain a valid payment method and ensure timely payments

Client is not authorized to directly modify or manage the assistant's logic or infrastructure.

5. Intellectual Property & License

  • All rights, title, and interest in the AI assistantβ€”including flows, code, logic, and integrationsβ€”remain the exclusive property of TerpTalk AI LLC.
  • Client is granted a limited, non-exclusive, non-transferable, revocable license to access and use the AI assistant during the active subscription period.
  • No ownership rights are transferred to the Client.

6. Limitations of Liability

TerpTalk AI is not liable for business losses, lost sales, or damages resulting from:

  • AI outputs or missed recommendations
  • Integration failures or third-party platform issues
  • Outages caused by OpenAI, VoiceFlow, Algolia, or other external services

The AI assistant is provided "as is" and "as available", without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or system availability.

To the maximum extent permitted by law, TerpTalk AI's total liability under this Agreement shall not exceed the amount paid by Client in the three (3) months preceding the event giving rise to the claim.

7. Termination

  • Client may cancel the subscription at any time.
  • Service will remain active until the end of the current billing period.
  • Early termination does not entitle Client to a refund.
  • TerpTalk AI may terminate this Agreement at any time with written notice to Client. If TerpTalk AI terminates without cause, a prorated refund will be provided for unused time.

8. Data Protection

  • Client data, including API keys and business information, will be used solely for the purpose of delivering the subscribed service.
  • TerpTalk AI will implement reasonable safeguards to protect this data but makes no guarantees of security.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Any legal disputes shall be resolved in the courts located in Illinois.

10. Entire Agreement

This Agreement constitutes the full and complete understanding between the parties and supersedes all prior agreements or understandings, written or oral.

By subscribing to the TerpTalk AI service, the Client acknowledges and agrees to the terms of this Agreement.

Information from Other Sources:

  • We may receive Personal Information from clients or integrations with third-party platforms such as Algolia, OpenAI, and Google Sheets, which are used to support the operation of AI assistants.

2. How We Use Personal Information

We use Personal Information for the following purposes:

  • To provide, operate, support and improve the Services
  • To configure and maintain your AI assistant
  • To communicate with you about your account, updates, and system alerts
  • To analyze how users interact with the Services
  • To detect and prevent fraud or misuse of our Services
  • To ensure the security of our IT systems
  • To comply with legal obligations and protect rights
  • For research and performance analysis (aggregated and anonymized)

We may also use Personal Information to develop new features, and in limited cases, for interest-based advertising (see below).
